The Success Story

The Seller’s Objective:

The sale of Solveary Pest Control presented a unique situation from the beginning.

The seller had acquired the Michigan pest control operation only a few months earlier as part of a larger acquisition involving a pest control business in his hometown in Florida. While the Florida operation aligned directly with where he lived and where he wanted to focus his attention, the Michigan business required a much more hands-on local presence.

The seller quickly realized that operating the Michigan company remotely was not the best long-term strategy.

With the busy pest control season underway in Michigan, timing was also important. Rather than allowing the business to lose momentum or waiting until the slower season to explore a sale, the seller contacted Rem at Capital Business Brokerage.

The seller knew he needed a proactive broker who could quickly understand the business, properly position the opportunity, generate qualified buyer interest, and move a transaction forward while the company was still actively operating during its strongest season.

The objective was clear: sell the Michigan operation efficiently, preserve the value of the recurring customer base and operating platform, and allow the seller to redirect his time and attention toward growing his Florida business.

Preparing and Positioning the Business:

Rem worked directly with the seller to understand the business’s financial performance, recurring customer accounts, service revenue, equipment, vehicles, employees, operating structure, and overall market opportunity. The valuation process was somewhat unique. Unlike many business sales where several years of historical financial information are available from the current owner, the seller had only owned Solveary Pest Control for approximately three to four months before deciding to sell. That meant Rem could not simply rely on a traditional multi-year analysis of the seller’s own operating history.

Instead, Rem worked with the seller to evaluate a combination of available historical information from the prior ownership, the company’s more recent operating results, recurring revenue, customer accounts, current staffing, assets, seasonality, and the overall strength of the pest control industry.

This allowed Capital Business Brokerage to develop a valuation that reflected the actual opportunity rather than relying on incomplete historical information.

Once the valuation and positioning were established, Rem and Capital prepared comprehensive marketing materials designed to clearly communicate the business to qualified buyers.

The presentation included financial information, operational details, recurring customer information, staffing, vehicles and assets, photographs, and the overall growth opportunity.

The objective was to give serious buyers a clear picture of the business from the beginning, reduce unnecessary back-and-forth, and allow qualified purchasers to quickly understand both the opportunity and the transaction.

Generating Significant Buyer Interest:

Once Solveary Pest Control was brought to market, the listing generated substantial buyer interest.

Several characteristics made the opportunity especially attractive.

The business was largely owner-absentee, operated in an essential service industry, contained recurring customer relationships, and represented the type of service business that remains dependent on local technicians and physical service rather than easily being displaced by automation or artificial intelligence.

Those characteristics made the listing highly sought after.

Rem worked through a significant number of buyer inquiries, coordinated confidentiality agreements and information requests, answered questions, qualified prospective purchasers, and worked directly with multiple buyers who expressed serious interest in the opportunity.

Rather than simply taking the first offer that came along, Rem continued working the market to identify the buyer that provided the strongest combination of experience, financial capability, transaction structure, and likelihood of closing.

Selecting the Right Buyer:

The buyer ultimately selected was not entering the industry for the first time.

The purchasing group had recently acquired another pest control company and also had experience in the janitorial services industry.

For the buyer, Solveary Pest Control represented a logical bolt-on acquisition.

The business fit naturally alongside the buyer’s existing pest control operation while also complementing its broader presence in commercial and recurring service businesses.

That existing operating experience was important to the seller.

It gave the seller greater confidence that the buyer understood the realities of managing technicians, recurring service accounts, customer relationships, route-based operations, and the day-to-day requirements of a pest control company.

Rem worked with both sides to structure a transaction that made sense not only financially, but operationally.

Managing a Complex Transaction:

Because the seller was motivated to focus his attention on the Florida operation, he was open to providing seller financing for the right buyer and transaction structure.

Rather than requiring the buyer to pursue traditional bank or SBA acquisition financing, Rem helped the parties structure a seller-financed transaction that addressed the needs of both sides.

The structure provided the seller with a meaningful amount of cash at closing while creating a manageable financing arrangement for the buyer.

That approach accomplished several important objectives:

It eliminated the need for a lengthy bank or SBA approval process.
It provided the seller with substantial proceeds at closing.
It allowed the buyer to preserve capital for operations and future growth.
It created a financing structure that worked economically for both parties.
It allowed the transaction to move extremely quickly once the purchase agreement was finalized.
By avoiding traditional acquisition financing, the parties were able to focus on completing diligence, finalizing documentation, handling employee and lease matters, and preparing for the transition rather than waiting through an extended lending process.

Protecting the Seller Without Losing Momentum:

Speed was particularly important in this transaction.

The buyer wanted to close by the end of September so it could take ownership in time to capitalize on the fall pest control season and immediately begin integrating the Michigan operation.

At the same time, Rem and Capital Business Brokerage remained focused on making sure the seller was appropriately protected.

The transaction required coordination involving the purchase agreement, seller financing documents, personal guaranty considerations, lease matters, equipment and vehicle issues, employee information, lien and UCC matters, closing documentation, and transition logistics.

Rem worked closely with the seller, buyer, attorneys, landlord, lender-related parties where applicable, and the neutral closing attorney to keep each moving piece progressing without allowing the expedited timeline to compromise the seller’s position.

The result was an exceptionally fast closing! From execution of the purchase agreement to closing, the transaction was completed in just six days.

That six-day period included coordinating due diligence, finalizing the seller-financing structure, addressing documentation, resolving operational items, preparing closing documents, and getting both sides ready to transfer ownership.

The ability to move from signed purchase agreement to completed closing in less than one week was one of the defining aspects of the transaction.

The Result:

The transaction successfully closed on September 30, 2026.

For the seller, the sale accomplished exactly what he set out to do.

He was able to exit the Michigan operation, monetize the business he had recently acquired, and redirect his attention and resources toward the Florida pest control company that was better aligned with his long-term plans.

For the buyer, the acquisition added another pest control operation to an expanding portfolio of service businesses and provided an opportunity to build upon existing industry experience through an additional strategic acquisition.

For Capital Business Brokerage, the transaction demonstrated the importance of more than simply placing a business on the market and waiting for a buyer.

Rem was involved throughout the entire process—from analyzing and valuing a business with an unusual ownership history, to positioning the opportunity, generating significant buyer interest, qualifying purchasers, helping select the right buyer, structuring seller financing, coordinating the transaction, and ultimately getting the deal closed.

The Solveary Pest Control transaction demonstrates what can happen when a motivated seller, qualified buyer, creative transaction structure, and proactive brokerage process come together.

Capital Business Brokerage successfully took the business to market, created buyer competition, structured a practical financing solution, and helped both parties complete the transaction before the end of the month.
